AES Terms and Conditions of Quotation and Sale

Absolute Engineering Solutions Pty Ltd (ABN 40 652 401 048)

1 Kiwi Court, Lonsdale SA 5160 · sales@aesaus.com · 0426 233 237 · www.aesaus.com

Version: 2026-11-01-draft4 · Applies to quotes and orders made through the AES Instant Quote app at quote.aesaus.com

1. Who we are and what these terms cover

1.1 "AES", "we" and "us" means Absolute Engineering Solutions Pty Ltd. "You" or "the Customer" means the business or person who asks for a quote or places an order, including anyone ordering on their behalf.

1.2 These terms apply to every quote, order and supply of parts, goods and services by AES through the instant quote app, and to any related work. They replace any terms on your purchase order (PO) or other documents, unless AES agrees otherwise in writing.

1.3 If you have a signed AES credit account, these terms work together with your credit application. If the two conflict, the credit application applies to payment and credit, and these terms apply to everything else.

2. Instant prices are estimates

2.1 Prices shown by the app are calculated automatically from the files and options you provide. They are estimates only, and are subject to engineering review and approval by AES.

2.2 AES reviews every submitted quote. We may confirm the price and lead time, change them, ask you for more information, or decline to quote.

2.3 If your 3D model and drawing disagree, or the files are incomplete, we will hold the quote or order and contact you before any machining starts.

3. When a contract is formed

3.1 Placing an order (in the app, or by sending us a PO number or order reference that refers to an approved quote number) is an offer to buy. A contract is formed only when AES confirms acceptance of your order in writing (for example by email or by the order status in your account). Until then, there is no contract and nothing is made.

3.2 Before confirming acceptance, AES may decline your order, or re-quote it within 1 business day of receiving it, if we find an error, a capacity problem or a change in material cost. If we re-quote, you can accept the new price or withdraw your order without cost.

3.3 Any change to the design, files, quantity, material or other details after a quote is issued needs a new or revised quote. Changes may affect the price and lead time.

3.4 Quotes are based only on the files supplied at the time of quoting. If a drawing, tolerances, finishes or other requirements are supplied after the quote, or after an order is placed, AES may re-quote. Any extra cost, including work already completed or material already purchased, will be charged and lead times may change.

4. How long a quote is valid

4.1 An approved quote is valid for 30 days from the date on the quote, unless the quote says otherwise. After that, AES may re-price it.

5. Prices, GST and payment

5.1 All prices are in Australian dollars and exclude GST. GST (currently 10%) and any other applicable taxes are added to the invoice.

5.2 Prices include the items shown on the quote only. Freight, delivery and anything not listed are extra unless the quote says they are included.

5.3 A PO number or order reference is required for every order. The app does not take online payments. AES invoices you against your PO number or order reference.

5.4 Customers with an approved AES credit account: payment is due 30 days from the end of the month of the invoice date. Customers without an approved credit account: AES requires pre-payment by card, or a 50% deposit, before production starts; the balance is payable before the parts are collected or dispatched. AES will invoice you for the pre-payment or deposit after confirming acceptance of your order.

5.5 Minimum order charge. A minimum order charge of $200 (ex GST) applies to each order. If the order total is less than $200, the difference is added to the invoice.

5.6 By placing an order you are responsible for paying for it, even if you are ordering for someone else or have a separate contract with another party.

5.7 If any amount is not paid by the due date: (a) all amounts you owe AES become due immediately; (b) AES may stop or suspend work and deliveries until you pay, and you remain liable for charges during that time; and (c) you must pay AES's reasonable costs of recovering the debt, including collection agency and legal costs. Payments are applied first to those costs, then to the amount outstanding. AES does not charge interest on overdue amounts.

5.8 Credits for disputed amounts are only given if you tell us in writing within 30 days of supply. A credit note is applied only against the invoice it relates to.

6. Your files and drawings

6.1 You are responsible for the accuracy and completeness of your CAD models, drawings, specifications and selected options (material, quantity, tolerance, threads, finish, post-treatment and so on). AES makes parts to the files and options you supply and is not responsible for errors in them, including design errors or parts that don't fit or work in your application.

6.2 You confirm that you own, or have the right to use and share, all files and information you upload, and that AES making the parts will not infringe anyone else's intellectual property. You agree to cover AES for any claim, loss or cost arising from a breach of this promise.

6.3 You keep ownership of the intellectual property in your designs. AES does not get any rights to your designs other than to quote and make your parts.

6.4 Fixtures and CNC programs. Fixtures, jigs, tooling and CNC programs that AES designs or makes to produce your parts remain AES's property, even if a fixturing or set-up charge appears on your quote. They do not include any of your design IP, and AES will not use them to make your parts for anyone else.

6.5 Customer-supplied (free-issue) material. If you supply material or part-finished parts for AES to machine, you must supply it to the agreed specification, with a reasonable allowance for set-up and scrap. If customer-supplied material is scrapped or damaged during machining, AES's liability is limited to re-machining replacement material that you supply, at no charge for AES's machining time. AES is not liable for the cost or replacement of the material itself.

7. Restricted parts

7.1 You confirm that the parts and files you upload through the instant quote app are not export-controlled or otherwise restricted, including items listed on the Australian Defence and Strategic Goods List (DSGL), items controlled under the US International Traffic in Arms Regulations (ITAR), and classified material.

7.2 AES welcomes defence and defence-industry customers. Restricted or controlled work is quoted through our manual quote process, not the instant quote app. If your parts are restricted, do not upload them; contact sales@aesaus.com to arrange a manual quote. AES may cancel any quote or order (without liability) if we believe it involves restricted items.

8. Specification, tolerances and finishing

8.1 Unless your drawing or the approved quote says otherwise, parts are made to general tolerances ISO 2768-m (medium), with sharp edges broken.

8.2 Tighter tolerances, surface finishes, threads, inserts, heat treatment and other requirements apply only if they are shown on your drawing and accepted in the approved quote.

8.3 Post-treatment and finishing (for example anodising, plating, painting or heat treatment) is supplied only as described on the quote. These processes may be carried out by AES's approved subcontractors and can cause small changes to dimensions, colour and appearance that are within normal industry variation.

8.4 AES may use its approved suppliers and subcontractors for any part of the work.

8.5 Quantity variance. For production runs of more than 100 parts, AES may deliver up to 5% more or fewer than the quantity ordered, and you pay for the quantity actually delivered at the quoted unit price. For runs of 100 parts or fewer, AES delivers the quantity ordered.

8.6 Material certificates and inspection reports. Material certificates, certificates of conformance, first-article and dimensional inspection reports are supplied only if you request them when you ask for the quote and they are shown on the approved quote. AES may charge for them.

9. Lead times and urgent jobs

9.1 Lead times are estimates based on our workload at the time of the quote. They are confirmed when AES approves the quote or accepts your order, and run from order acceptance (and receipt of any information we need).

9.2 Urgent and expedited lead times are provided on a best-effort basis. AES is not liable for delays, including delays caused by material supply, subcontractors, breakdowns or events outside our control.

9.3 If AES misses the confirmed urgent delivery date for reasons within AES's control, the 20% urgent surcharge is credited on your invoice or refunded to you. The surcharge is not refunded or credited where the delay is caused by material supply, subcontractors (including post-treatment and finishing), changes or late information from you, or events outside AES's reasonable control.

10. Delivery, collection and risk

10.1 Unless the quote says otherwise, parts are available for collection from AES at 1 Kiwi Court, Lonsdale SA 5160. Freight and delivery are at your cost unless included in the quote.

10.2 Risk in the parts (loss or damage) passes to you when they are collected, or when they are handed to you or your carrier, or to a carrier arranged by AES for you.

10.3 AES does not charge a storage fee. However, AES cannot hold goods in quarantine indefinitely. If you do not collect or accept the goods within 90 days after AES gives you written notice that they are ready, AES may scrap or otherwise dispose of them. AES has no obligation to refund you, and the full invoice remains payable.

11. Inspection and claims

11.1 Please inspect the parts as soon as you receive them. You must tell AES in writing (email sales@aesaus.com) about any defect, shortfall or non-conformance within 7 days of delivery or collection, with photos and details. Do not modify or use the parts you are claiming about.

11.2 If you don't tell us within 7 days, the parts are taken to be accepted, except for defects that could not reasonably have been found by inspection, and except for your rights under the Australian Consumer Law.

12. Our remedy and liability

12.1 If AES accepts that parts do not meet the approved quote and your drawing, AES will, at its choice, rework the parts, remake them, or credit or refund the price of the non-conforming parts.

12.2 To the extent allowed by law, that is your only remedy, and AES's total liability for any job is limited to the price of that job (ex GST). AES is not liable for indirect or consequential loss, including loss of profit, production, revenue or use, or the cost of assembly, disassembly or materials you supply.

12.3 Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded. Where the law allows AES to limit its liability for breach of a consumer guarantee, AES limits it to repairing or replacing the goods or supplying them again, or paying the cost of doing so.

13. Cancellations and changes

13.1 You may cancel an order by written notice to sales@aesaus.com.

13.2 Once AES has ordered material or started machining, cancellation is chargeable. You must pay for all work done and costs incurred (including material, subcontract work and set-up) up to two working days after we receive your written cancellation. Custom parts that have been made are not returnable.

14. Ownership (retention of title) and PPSA

14.1 Ownership of the parts stays with AES until you have paid in full for them and for all other amounts you owe AES. Until then you hold the parts for AES, must keep them separate and identifiable, and AES may enter the place where they are kept to recover them if you do not pay when due.

14.2 You agree that these terms create a security interest (a purchase money security interest) in favour of AES over all goods supplied to you, now and in the future, for the purposes of the Personal Property Securities Act 2009 (Cth) (PPSA). AES may register its interest on the Personal Property Securities Register (PPSR).

14.3 You agree to: (a) sign any documents and give any information AES reasonably needs to register or correct its security interest; (b) pay AES's costs of registering, enforcing or releasing it; (c) not register, or allow anyone to register, a financing statement over the goods in favour of a third party without AES's written consent; and (d) give AES at least 14 days' written notice of any change to your name, address, email, ABN or trading name.

14.4 To the extent the law allows, you waive your right to receive a verification statement under section 157 of the PPSA, and the parties contract out of sections 95, 118, 121(4), 125, 130, 132(3)(d), 132(4), 135, 142 and 143 of the PPSA. AES does not waive any of its own rights under the PPSA.

14.5 AES may register its security interest for customers with an approved credit account, and for orders over a value threshold set by AES from time to time. Not registering on any order does not waive AES's rights under clause 14.

15. How we handle your files

15.1 Files you upload are stored securely (encrypted cloud storage with restricted access) and are used only to quote and make your parts.

15.2 We keep your files confidential and do not share them with anyone except our staff and, where needed to complete your job, our approved subcontractors (who must keep them confidential).

15.3 Your uploaded CAD files are deleted from the instant quote app once your job enters AES's production system. Files for quotes that are never ordered are deleted automatically 90 days after upload. You can ask us to delete your files sooner at any time by emailing sales@aesaus.com.

15.4 AES keeps quote records, pricing and win/loss data (for example dimensions, material, quantity, price and whether the quote was ordered) indefinitely, to improve the accuracy of our pricing. These records do not include your design files.

16. Privacy

16.1 AES collects your name, company, email, phone and order details to provide quotes, process orders, invoice you and contact you about your jobs. We do not sell your information. We may share it with service providers who help run our business (such as our hosting, email and accounting providers) only for these purposes.

16.2 You can ask to see or correct your personal information by emailing sales@aesaus.com. Our full Privacy Policy explains how we handle personal information.

17. General

17.1 AES is not liable for any failure or delay caused by events outside its reasonable control.

17.2 AES may update these terms from time to time. The version you accepted when you submitted your quote or placed your order applies to that quote or order. The app records the version and the time you accepted it.

17.3 If any part of these terms is invalid, the rest still applies. A failure by AES to enforce a term is not a waiver of it.

17.4 These terms are governed by the laws of South Australia, and both parties submit to the courts of South Australia.
